These Terms govern access to and use of StockLabs. By using the platform you agree to them; if you're using StockLabs on behalf of an organization, you confirm you have authority to bind that organization.
Acceptance
These Terms govern access to and use of StockLabs: the website, platform, account features, inventory tools, document processing, AI features, integrations, downloads, reports, dashboards, and related services. Using StockLabs means you agree to these Terms. If you don’t agree, don’t use the service.
If you use StockLabs on behalf of a company or other entity, you confirm that you have authority to bind that entity, and “you” means both you and that entity.
About StockLabs
StockLabs is a B2B inventory management platform for industrial contractors and business users. You can upload inventory photos, invoices, receipts, part labels, packing slips, handwritten notes, spreadsheets, and other legible business documents; StockLabs may process them through OCR, AI, and third-party tooling to extract vendor names, quantities, part numbers, descriptions, pricing, and other visible fields.
We may also provide Excel templates and spreadsheet upload tools, inventory reports, and current or planned integrations with ERP and accounting systems such as QuickBooks and Sage.
Business use only
StockLabs is for business or commercial use, not personal, household, or consumer use. By using the service, you confirm that you are using it for business purposes and that the information you upload relates to your business or organization.
Accounts
Some features require an account. Authentication is handled by Supabase. You are responsible for keeping your credentials confidential and for all activity under your account. If you believe your account has been accessed without authorization, contact hello@stocklabs.dev immediately.
StockLabs may suspend, restrict, or terminate accounts that violate these Terms, create security or operational risk, fall behind on payment, or otherwise misuse the platform.
Your content
“Customer Content” means any documents, images, photos, spreadsheets, files, data, records, inventory information, invoices, receipts, packing slips, part labels, handwritten notes, ERP data, or other materials you provide. You retain ownership of Customer Content; StockLabs claims none.
You grant StockLabs a limited, non-exclusive, worldwide right to host, store, process, transmit, analyze, display, and otherwise use Customer Content solely to provide, maintain, secure, improve, and support the service, subject to these Terms and the Privacy Policy.
You are responsible for having the rights, permissions, and authority to upload and process all Customer Content. You agree not to upload content that:
- You don’t have permission to upload or process.
- Violates any law, contract, confidentiality obligation, intellectual-property right, privacy right, or other third-party right.
- Contains malware, viruses, harmful code, or other security threats.
- Is fraudulent, misleading, unlawful, defamatory, discriminatory, or harmful.
- Contains highly sensitive personal information without proper authorization and safeguards.
StockLabs may remove or restrict Customer Content it reasonably believes violates these Terms, creates legal risk, or threatens platform security or operation.
AI, OCR & extraction outputs
StockLabs uses third-party tools, including Amazon Textract and the Claude API, to perform OCR, AI processing, document analysis, extraction, classification, and structuring. We may extract vendor names, quantities, descriptions, part numbers, invoice information, pricing, notes, labels, and other visible fields.
AI and OCR outputs may be inaccurate, incomplete, misread, delayed, or otherwise unsuitable. Nothing is guaranteed to be readable or correctly extracted. You are responsible for reviewing, verifying, correcting, and approving extracted data before relying on it for inventory, purchasing, accounting, reporting, asset management, billing, compliance, financial analysis, or any other decision.
StockLabs is an inventory and document tool, not a source of legal, accounting, tax, financial, procurement, audit, engineering, safety, or compliance advice. Outputs are informational and operational only; consult qualified professionals before relying on them for those decisions.
Integrations & sub-processors
Integrations. StockLabs may provide or develop integrations with ERP, accounting, inventory, and business systems such as QuickBooks and Sage. Integrations may require you to authorize access to external accounts, data, or systems; you are responsible for having the authority to connect them. StockLabs is not responsible for the availability, accuracy, security, functionality, downtime, data loss, errors, changes, or conduct of third-party systems.
Sub-processors. StockLabs relies on the following providers to operate, host, secure, process, monitor, and deliver the platform:
- Amazon Textract: OCR and document analysis.
- Claude API (Anthropic): AI processing.
- Vercel: application hosting and deployment.
- Render: hosting and backend infrastructure.
- Supabase: authentication, database, and storage.
- Sentry: error tracking and performance monitoring.
- Resend: transactional email.
- Stripe: payments and billing.
Your use of StockLabs may involve transmission, storage, or processing of Customer Content, account data, billing information, or logs through these providers. StockLabs is not liable for interruptions, failures, outages, errors, data loss, delays, or security incidents caused by providers, except as required by law.
Payments and billing
StockLabs offers paid subscriptions and may offer pilots, usage-based plans, custom plans, or enterprise plans. Payments are processed through Stripe. By subscribing or paying, you authorize StockLabs and Stripe to charge the applicable fees, taxes, and other amounts to your payment method.
StockLabs does not directly store full card numbers; payment processing is handled by Stripe under Stripe’s terms. You must provide accurate billing information and keep your payment method current.
Subscriptions may auto-renew at the end of each billing period unless we agree otherwise in writing. Prices, features, usage limits, and billing structures may change; we will make reasonable efforts to notify active subscriptions of changes where required or where commercially reasonable. Continued use after a change constitutes acceptance.
Refunds
All payments are non-refundable except where required by law. We may review refund requests on a case-by-case basis at our sole discretion; submitting a request does not guarantee a refund.
Acceptable use
You agree not to:
- Use StockLabs for unlawful, fraudulent, harmful, or unauthorized purposes.
- Upload data you don’t have authority to process.
- Reverse engineer, copy, resell, sublicense, or otherwise exploit StockLabs without permission.
- Gain unauthorized access to systems, accounts, databases, or infrastructure.
- Interfere with the security, availability, or performance of the platform.
- Upload malware, viruses, or other malicious files.
- Use abusive automation, scraping, or bots.
- Circumvent usage limits, billing controls, authentication, or security.
- Process sensitive personal information without legal authority and adequate safeguards.
- Misrepresent AI or OCR outputs as verified without proper review.
StockLabs may investigate apparent violations and suspend access while doing so.
Data retention & model training
Unless a separate written agreement says otherwise, uploaded photos and documents are kept in active storage for up to 30 days and then deleted. Extracted data, inventory records, metadata, reports, account information, billing and support records, and security logs may be retained longer where needed to provide the service, maintain history, comply with law, resolve disputes, prevent abuse, or enforce agreements. The Privacy Policy describes retention in more detail.
StockLabs does not use Customer Content to train its own AI models without your permission. Third-party AI and OCR providers may process Customer Content as needed to operate their services, subject to their own terms, data processing agreements, and safeguards.
Service availability & changes
StockLabs aims for reliability but does not guarantee uninterrupted, error-free, secure, or always-available service. The platform may be unavailable for maintenance, updates, outages, provider failures, security incidents, errors, force majeure, or other circumstances beyond our control.
We may modify, update, suspend, discontinue, replace, or remove any part of the platform at any time, including features, integrations, pricing, usage limits, AI and OCR tools, templates, workflows, reports, or supported file types.
Intellectual property & feedback
StockLabs, including its software, platform, website, design, code, workflows, models, templates, branding, logos, documentation, and interfaces, is owned by StockLabs or its licensors. You may not copy, reproduce, distribute, modify, reverse engineer, sell, sublicense, or create derivative works without written permission. Your Customer Content remains yours, subject to the limited rights granted under these Terms.
If you give us feedback, suggestions, ideas, or bug reports, you grant StockLabs a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate that input without restriction or compensation.
Confidentiality & security
StockLabs will take reasonable steps to protect the confidential business information you upload or that we process on your behalf. You are responsible for determining whether your own policies, contracts, confidentiality obligations, or applicable laws permit you to upload any particular information.
We use reasonable technical and organizational safeguards. No internet service, cloud platform, software system, or transmission method is fully secure. You are responsible for securing your credentials, limiting access to authorized users, maintaining internal controls, and backing up important records.
Disclaimers
StockLabs is provided “as is” and “as available.” To the fullest extent permitted by law, StockLabs disclaims all warranties, express, implied, statutory, or otherwise, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, security, and error-free operation.
We do not guarantee that AI or OCR outputs are accurate or complete, that documents are readable, that inventory records are error-free, that integrations run uninterrupted, that third-party services remain available, or that the platform meets your specific requirements.
Limitation of liability
To the fullest extent permitted by law, StockLabs and its owners, directors, officers, employees, contractors, affiliates, licensors, suppliers, and providers are not liable for indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, including lost profits or revenue, lost data, lost business opportunity, business interruption, procurement errors, inventory inaccuracies, accounting errors, compliance issues, inaccurate AI or OCR outputs, downtime, third-party failures, or reliance on unverified outputs.
Total aggregate liability for any claim will not exceed the amount you paid StockLabs in the three months preceding the event giving rise to the claim, or $100 CAD if you have not paid StockLabs.
Indemnification
You agree to defend, indemnify, and hold harmless StockLabs and its owners, directors, officers, employees, contractors, affiliates, licensors, suppliers, and providers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of StockLabs, your Customer Content, your violation of these Terms or applicable law, your connection of third-party systems, your reliance on unverified outputs, or your infringement of third-party rights.
Termination
You may stop using StockLabs at any time.
StockLabs may suspend or terminate access for violations of these Terms, non-payment, legal or security risk, misuse, or conduct that harms StockLabs, our users, or our providers. Once your access ends, StockLabs may delete or retain data as described in the Privacy Policy, our retention practices, applicable legal obligations, and routine backups.
Governing law (Alberta)
These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict-of-law principles. Disputes will be resolved in courts located in Alberta, Canada, unless the law requires otherwise.
Changes to these Terms
StockLabs may update these Terms. Material changes may be announced by email, in-platform, or by posting an updated version. Continued use of the service after an update means you accept the change.
